BEYONDWHISKERS WHITE-LABEL DISTRIBUTION AGREEMENT

This White-Label Distribution Agreement (“Agreement”) is entered into between BeyondWhiskers (“Company,” “Distributor,” “we,” “us”) and the purchasing customer (“Customer,” “you”).

By placing an order, the Customer agrees to be bound by the terms of this Agreement.

1. Nature of Relationship

1.1 BeyondWhiskers acts solely as a distributor of finished pet treat products manufactured by a certified third-party manufacturer using Company-approved formulas and ingredients.
1.2 The Company does not provide custom manufacturing, custom formulations, ingredient modifications, or private recipe development.
1.3 No agency, partnership, joint venture, or employment relationship is created under this Agreement.

2. Product Availability

2.1 Customer may only purchase products that are currently offered and listed by the Company at time of purchase.
2.2 The Company does not guarantee availability of any specific product at any time.
2.3 No modifications, substitutions, or custom formulations are permitted.

3. Packaging & Presentation

3.1 Products are sold only in the following formats:

  • Bulk packaged boxes, and/or
  • Blank (unlabeled) packaging

3.2 The Company does not provide:

  • Label design services
  • Label printing
  • Label application
  • Branding or packaging customization services

4. Customer Branding Responsibility

4.1 Customer is solely responsible for all branding, labeling, and packaging applied after purchase.
4.2 Customer assumes full responsibility for ensuring all labeling complies with all applicable federal, state, and local laws and regulations.
4.3 The Company provides no review, approval, certification, or validation of Customer branding or labeling.

5. Regulatory Compliance

5.1 Customer is solely responsible for obtaining and maintaining all required legal permissions, including but not limited to:

  • Business licenses
  • State registrations
  • Pet food/treat registrations
  • Reseller certificates
  • Any applicable regulatory approvals

5.2 The Company assumes no responsibility for Customer compliance in any jurisdiction.

6. Insurance Requirement

6.1 Customer is required to maintain valid business liability and product liability insurance at their own expense.
6.2 The Company bears no liability for any claims arising after transfer of goods to Customer.

7. No Affiliation

7.1 Customer may not represent, imply, or suggest any affiliation, partnership, sponsorship, or endorsement by BeyondWhiskers.
7.2 Customer may not use the Company name, logo, trademarks, or branding in any form without prior written authorization.

8. Intellectual Property & Media Use

8.1 Customer is strictly prohibited from using BeyondWhiskers photography, branding images, packaging visuals, or marketing materials.
8.2 All marketing materials used by Customer must be independently created or properly licensed.
8.3 Unauthorized use of Company intellectual property may result in immediate termination of service and legal action.

9. Minimum Order & Shipping

9.1 Minimum order value is $200 per order.
9.2 Customer is responsible for all shipping costs associated with their order.

10. Fulfillment & Shipping Terms

10.1 Standard processing time is 1–5 business days.
10.2 Larger orders may require extended processing time.
10.3 Orders may ship in multiple shipments depending on inventory and fulfillment conditions.

11. Inventory & Availability

11.1 The Company makes reasonable efforts to maintain accurate inventory.
11.2 Errors in inventory counting may occur.
11.3 If an item is out of stock due to inventory error:

  • It will be restocked weekly and shipped when available.

11.4 If an item is unavailable:

  • It may require production, which may take up to 30 days.

11.5 Customer will be notified of delays and may choose to:

  • Wait for fulfillment, or
  • Cancel the affected item

12. Transfer of Ownership

12.1 Title and ownership of all products transfer to Customer upon payment and delivery.
12.2 After transfer, Customer assumes full responsibility for:

  • Storage
  • Handling
  • Packaging
  • Labeling
  • Distribution
  • Marketing
  • Compliance
  • Resale
  • Consumer-related claims

13. Product Variations

13.1 Products are made using natural ingredients.
13.2 Variations in color, size, shape, and texture are normal and expected.
13.3 Such variations do not constitute defects or grounds for claims.

14. Storage & Handling

14.1 Customer is responsible for proper storage of all products after delivery.
14.2 Products must be stored in a cool, dry environment away from heat and moisture.
14.3 The Company is not liable for damage resulting from improper storage or handling after delivery.

15. Payment Terms

15.1 Full payment is required prior to order processing.
15.2 All sales are final.
15.3 No refunds, returns, exchanges, credits, or chargebacks are permitted under any circumstances.

16. Confidentiality

16.1 All pricing, supplier relationships, formulas, sourcing, and manufacturing information are confidential.
16.2 Customer agrees not to disclose, distribute, or request proprietary Company information.

17. Termination & Refusal of Service

The Company reserves the right to refuse or terminate service at its sole discretion for any reason, including but not limited to:

  • Non-payment
  • Fraudulent activity
  • Chargebacks
  • Misrepresentation
  • Regulatory violations
  • Abuse or harassment

18. Binding Agreement

By placing a white-label bulk order with BeyondWhiskers, Customer acknowledges and agrees that they have read, understood, and accepted all terms of this Agreement.

This Agreement constitutes a legally binding contract upon completion of payment and order submission.
